RSS TERMS OF USE

The RSS (Really Simple Syndication) service (the "Service") is provided free of charge by CW Media Inc., a subsidiary of Canwest Media Inc. ("Canwest") for your personal use. The Service encompasses various feeds of story headlines in XML format ("RSS Content") to visitors to foodnetwork.ca (the "Site") who use RSS aggregators. The use of the RSS service also is subject to the Terms and Conditions of the Site Terms and Conditions located at http://www.canwest.com/privacy.asp, which governs the use of Canwest Media Inc. websites, information services and content, and by the canada.com Terms and Conditions located at http://www.canada.com/aboutus/termsofservice.html which governs Canwest sites that are part of the canada.com network. By your use of the Service, you agree to be bound by these RSS Terms of Use. If you do not agree with the Terms governing your use of Canwest RSS Content, please discontinue use of the Service and exit the Site.

Canwest reserves the right, at its sole discretion, to alter any Terms of Use governing RSS Content or the Site at any time without prior notice. Revisions to the Terms will become effective immediately upon posting to the Site. By your continued use of the RSS Content, you will indicate your acceptance of and compliance with the updated Terms.

Use of RSS Feeds:

RSS is a free service offered for non-commercial use only. You may not charge any fee for visitors to your website to access the Canwest RSS Content. Any other uses, including without limitation the incorporation of advertising into or the placement of advertising associated with or targeted towards the RSS Content, are strictly prohibited. RSS feeds are to be used as provided by Canwest, without any editing or modifying of the text, content or links supplied by Canwest. For permission to repurpose material from these Canwest RSS feeds, please contact syndication@canwest.com prior to your use of the content.

The Service may be used only with those platforms from which a functional link is made available that, when accessed, takes the viewer directly to the display of the full article on the Site. You may not display the RSS Content in a manner that does not permit successful linking to, redirection to or delivery of the applicable Site web page. You may not insert any intermediate page, splash page or other content between the RSS link and the applicable Site web page.

Ownership/Attribution:

Canwest retains all ownership and other rights in the RSS Content, and any and all Canwest logos and trademarks used in connection with the RSS Service. You must provide attribution to the appropriate Canwest website in connection with your use of any Canwest RSS feed. If you provide this attribution using a graphic, you must use the appropriate Canwest website's logo that we have incorporated into the RSS feed.

Disclaimer - Canwest acknowledges and agrees that Canwest must evaluate, and bear all risks associated with, the Service and the Canwest Marks and any use of the Service and the Canwest Marks made by Canwest, including any reliance on the accuracy or completeness of the Service.

Liability/Indemnification:

THE SERVICE AND THE CANWEST MARKS ARE PROVIDED HEREUNDER "AS IS" AND ANY USE OF THE SERVICE AND THE CANWEST MARKS BY CANWEST SHALL BE AT CANWEST'S OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANWEST AND ITS PARTNERS, PRINCIPALS, EMPLOYEES AND AGENTS DISCLAIM ALL WARRANTIES WITH RESPECT TO THE SERVICE AND THE CANWEST MARKS, EXPRESS, IMPLIED AND STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, AND NON-INFRINGEMENT. CANWEST ACKNOWLEDGES AND AGREES THAT CANWEST IS UNDER NO OBLIGATION TO VERIFY THE ACCURACY OF OR OTHERWISE UPDATE THE SERVICE OR ANY SERVICE CONTAINED THEREIN OR TO NOTIFY CANWEST OF ANY INNACURACIES THEREIN OR UPDATES THERETO THAT MAY COME TO THE ATTENTION OF OR BE DEVELOPED BY CANWEST.

Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER CANWEST NOR ANY OF ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES, AGENTS OR AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS OR REVENUES, GOODWILL, WORK STOPPAGE, SECURITY BREACHES, VIRUSES, COMPUTER FAILURE OR MALFUNCTION, USE, DATA OR OTHER INTANGIBLE LOSSES OR COMMERCIAL DAMAGES, EVEN IF ANY OF SUCH PARTIES IS ADVISED OF THE POSSIBILITY OF SUCH LOSSES, ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT, THE SERVICE, THE USE OF OR INABILITY TO USE THE SAME, OR ANY OTHER SUBJECT MATTER HEREOF. IN ADDITION TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER CANWEST NOR ANY OF ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES, AGENTS OR AFFILIATES SHALL BE LIABLE FOR ANY LOSS OR DAMAGE SUFFERED BY LICENSEE WHICH ARISES OUT OF OR IN CONNECTION WITH THE SERVICE AND THE CANWEST MARKS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF CANWEST, ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES, AGENTS AND AFFILIATES UNDER THIS AGREEMENT OR IN CONNECTION WITH ITS SUBJECT MATTER EXCEED ONE DOLLAR ($1).

Right to Discontinue Feeds:

Canwest reserves the right to discontinue providing any or all of the RSS feeds at any time and to require you to cease displaying, distributing or otherwise using any or all of the RSS feeds for any reason including, without limitation, your violation of any provision of these RSS Terms of Use. Canwest assumes no liability for any of your activities in connection with the RSS feeds or for your use of the RSS feeds in connection with your website.
